1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and ValueAPI ("we," "us," or "our"), concerning your access to and use of the valueapi.ai website as well as any other media form, API, dashboard, or service related, linked, or otherwise connected thereto (collectively, the "Services").

By accessing or using the Services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

2. Description of Service

ValueAPI acts as an intermediary and aggregator for various artificial intelligence models (e.g., OpenAI, Anthropic, Google, DeepSeek, Meta). We provide a unified, OpenAI-compatible API endpoint that routes your requests to upstream providers. We manage the underlying upstream accounts, authentication, and billing, allowing you to access multiple models using a single ValueAPI account and API key.

3. Account Registration and Security

To use our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

• Credential Confidentiality: You are solely responsible for safeguarding your password and API keys. You agree not to disclose your API keys to any third party or embed them in publicly accessible code (e.g., client-side applications without proper backend proxying).
• Account Liability: You are financially and legally responsible for all activities and usage (Credits deducted) that occur under your account, regardless of whether the usage was authorized by you. You must immediately notify us of any unauthorized use of your account or any other breach of security.

4. Pricing, Credits, and Payments

Our services operate on a prepaid "Credits" system. You purchase Credits using fiat currency (e.g., USD), and the exchange rate is determined by your lifetime top-up tier.

• Dynamic Pricing: The cost per 1M tokens (input, output, reasoning, cache) for any specific model is subject to change at any time without prior notice. We regularly adjust prices based on upstream provider changes, token group multipliers, and operational costs. Current pricing is always available on your dashboard.
• No Refunds: All payments for Credits are final and non-refundable. Credits have no cash value, do not accrue interest, and cannot be exchanged back to fiat currency or transferred to another account.
• Tier Adjustments: We reserve the right to modify the thresholds, exchange rates, and benefits associated with user tiers at our sole discretion.
• Taxes: You are responsible for all applicable taxes associated with your purchases.

5. Availability and "As Is" Basis

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. You agree that your use of the Services will be at your sole risk.

• No Uptime Guarantee: While we strive for high reliability, we do not guarantee any specific uptime, availability, or performance metrics. We disclaim all warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
• Upstream Dependency: Our service relies entirely on third-party upstream providers. If an upstream provider experiences an outage, rate limits, deprecates a model, or changes their API format, that model may become unavailable or behave differently through ValueAPI. We are not responsible for upstream failures or changes.
• Service Modification: We reserve the right to add, remove, or modify supported models, token groups, features, or API endpoints at any time without liability or prior notice.

6. User Conduct and Acceptable Use

You agree not to use the Services for any unlawful or prohibited purpose. Your use of the Services is subject to our Acceptable Use Policy, which is incorporated by reference into these Terms. Furthermore, because we route your requests to upstream providers, you must also comply with the Acceptable Use Policies of the respective upstream providers whose models you invoke.

7. Intellectual Property Rights

ValueAPI retains all right, title, and interest in and to the Services, including all related intellectual property rights. You retain all rights to the data, prompts, and content you transmit through the API. However, you acknowledge that the outputs generated by the AI models are subject to the terms and intellectual property policies of the respective upstream providers.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VALUEAPI, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

9. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Services or upstream provider.

10. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms or our Acceptable Use Policy. Upon termination, your right to use the Services will immediately cease, and any remaining Credits in your account will be forfeited without refund.

11. Governing Law

These Terms shall be governed by and defined following the laws of the jurisdiction in which ValueAPI is established, without regard to its conflict of law principles. You irrevocably consent that the courts of that jurisdiction shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

12. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates.
